install the recovery console on your w2k box: http://support.microsoft.com/default.aspx?scid=kb;en-us;216417 after getting to the recovery console, go to help there. help will show you the commands to use (very easy.) issue the command to show all services running. issue the stop command (or manual start-up command) for the anti-virus that you just installed. then reboot your machine as normal. if it's your anti-virus causing the problem, this will make your machine usable.
